The R32 is a 6 speed so I'd need a 6 speed diesel box, its not a straight bolt off/bolt on job, you can swap the internals though.
My main concern is the ratio's them selves with having a diesel box on a petrol engine I'm not sure of the characteristics of acceleration/top speed. I've done the maths (with some minor error) but at 7000rpm from the 3.2 V6 the max speeds of the standard box against the diesel box would be...

2nd - 51mph
3rd - 72mph
4th - 96mph
5th - 123mph
6th - 147mph
EFF (Most commonly used) Gearbox
1st - 35mph
2nd - 64mph
3rd - 100mph
4th - 138mph
5th - 170mph
6th - 204mph
Obviously the standard power of the R32 wouldnt be able to pull anywhere near 200mph but my main concern is how the car will feel on acceleration & cruising at motorway speeds, will the car feel limp in 6th at around 70-100mph (Autobahn obviously) and will the acceleration be compromized with the longer ratios from 3rd? 1st and 2nd are pretty similar so i dont see an issue there but 3rd seems quite long as does 4th, 5th and 6th so would 6th be rendered useless?

Not sure how it would compare but does anyone have a gttdi (Preferably 130 standard) now running around 240bhp? or as close as? If so how does the gear box feel when pulling through the revs?
